BYLAWS OF HWA RANG DO® & TAE SOO DO®
THE WORLD HWA RANG DO® ASSOCIATION

ARTICLE I. NAME

Section1.01 Name: The name of this organization is the:

WORLD HWA RANG DO® ASSOCIATION
HWA RANG DO
® WORLD HEADQUARTERS

Section 1.02 Application: The provisions of these Bylaws are applicable to any and all persons, organizations or affiliates involved in any way with the martial arts of HWA RANG DO® and / or TAE SOO DO®. There are to be no other organizations or associations concerned with these martial arts.

ARTICLE II. MISSION STATEMENT

Section 2.01 Mission Statement Overview: The World Hwa Rang Do® Association (hereinafter referred to as WHRDA) was founded by Dr. Joo Bang Lee, who founded the martial art HWA RANG DO®. The WHRDA, through the founder's teachings, is the sole, singular source and governing body of the bona-fide martial arts of HWA RANG DO® and TAE SOO DO® in the world.

The ideals and goals of the WHRDA revolve around the instruction of our current and future generations in strong leadership skills, development of mental and physical prowess coupled with the concepts inherent in the HWA RANG DO® code of ethics.

This is a traditional, proven method of developing human potentials, including training in philosophies, cultural exchange, knowledge, patience, mental concentration, and focus. Martial art instruction differs from other academic training in that one learns skills that if misapplied can be detrimental to others. Therefore, strict, governing guidelines must be exercised when licensing professional instructors and facilities. A continuing program of advanced education and re- evaluations is necessary to ensure that the highest quality instruction is available to the public.

In today's modern society, and in a majority of countries, there are no regulatory agencies or organizations concerning the regulation of bona-fide qualifications of instruction in the martial arts. This is due in part to a multitude of different styles of martial arts as well as to refrain from a "restraint of trade" in a business sense. It is the WHRDA's collective opinion that this can pose a potentially dangerous situation to the public.

By teaching anyone the physical means to cause injury or worse to another human being without teaching the proper moral restraint , mental training and behavioral instruction is tantamount to giving someone a weapon whose mental and/or moral integrity is not known.

Without a qualifying set of guidelines, anyone can claim to be an instructor of a martial art since there is no governing agency to dispute or corraborate these individual's claims. As a result, there are many false instructors of martial art in the public today.

As the singular source of HWA RANG DO® and TAE SOO DO® in the world, it is a main objective of the WHRDA to self-regulate our own members to ascertain that only the highest quality instruction is given to our members and the public at large.

In order to maintain such high standards, a singular organization (WHRDA ) is established that collectively self-governs all it's licensed instructors and academies and to adequately protect the quality of the teachings, skills and objectives of it's founder.

Section 2.02 Primary Purpose and Objectives: The primary purposes and objectives of the World Hwa Rang Do Association are to serve and protect our membership and communities as follows:
2.02.01 Quality Control: To ensure the highest quality instruction available to the public and to maintain the highest levels of expertise found in HWA RANG DO
® & TAE SOO DO® as taught by it's founder.
2.02.02 Promotion: To actively promote and further disseminate the teachings of this sole source of the martial and healing art of HWA RANG DO
® and the martial sport of TAE SOO DO® to all corners of the globe.
2.02.03 Education: To provide as an educational source , continual instruction in all phases of these muti-faceted martial arts , with continued educational opportunities to`all its members.
2.02.04 Business Enhancement: To provide for an organizational forum for the exchange of business information; ideas; technical training, and growth techniques to it's professional members.
2.02.05 Civic Duties: To establish a series of information and educational programs to encourage interaction with government , corporate and community-based organizations from local levels through global interactions to assist in our mutual goals.
2.02.06 Youth Programs: To further develop the leadership qualities of our youth, especially assisting those youngsters designated "at risk," through the tenets of HWA RANG DO
® and TAE SOO DO®.
2.02.07 Scholarships: To provide scholarships for those individuals whose needs qualify them to receive such assistance.
2.02.08 Protection: To protect the reputation of HWA RANG DO
® and TAE SOO DO® from non-qualified individuals who falsely claim to teach these martial arts for the benefit of the WHRDA membership and the public at large.

ARTICLE III. OFFICES; INFRASTRUCTURE

Section 3.01 Principle Office: The principle executive office ( World Headquarters ) of the WHRDA will be located at 13762 Newport Ave. #201 Tustin, CA 92780 USA. The principle executive office location may change at the discretion of the Founder of HWA RANG DO® & TAE SOO DO® or his appointed successor (hereinafter referred to as President) as the need exists.

Section 3.03 Members: Membership in the WHRDA is comprised of the following categories of membership:
Student/ General Membership
Black Belt Membership
Corporate Membership
Honorary Membership
Professional Membership

Section 3.04 Instructors:

3.04.01 Defined An instructor (or affiliate ) is an authorized, accredited, and licensed individual or group of instructors who have received training to teach specific aspects and/or programs of HWA RANG DO® and/or TAE SOO DO®. Further responsibilities and duties are as outlined in the attached Rules and Regulations under Professional Membership.

Section 3.05 Clubs:

3.05.01 Defined An accredited, licensed teaching location or facility that may be run on a full time or part time basis, generally in conjunction with another business (i.e.- YMCA, Health Club, Etcetera). A club is usually run by an individual (or Instructor) who has another full-time vocation and wishes to teach in an area where there currently is no Academy. The administration and teaching supplied at the Club level is directly responsible to the Academy location to whom it reports (Governing Academy or Hdqts). Further responsibilities and duties are as outlined in the attached Rules & Regulations.
3.05.02 Qualifications
A. Meet all requirements of Instructors (Section 3.04 of these Bylaws)
B. Any WHRDA licensed instructor who obtains permission and authorizations from WHRDA to operate a club, and who abides by the rules and regulations herein:
C. A half-black belt ( Il Kub) can teach at a club with written permission from his master / instructor and with all authorizations and permission of WHRDA Int. Hdqts, with all rules & regulations in effect.
3.05.03 Procedures All club instructors shall comply with the stipulations set forth below:
A. Rules:
01. All rules and regulations regarding Instructors are in effect
02. Clubs are either under the jurisdiction of a governing Academy or directly under the Country Hdqts. (or World Hdqts).
03. All uniforms and equipment is purchased retail only from the club's governing Academy (or Country or World hdqts. as indicated on your club license).
04. You receive 100 % of lesson fees charged (or % per your individual agreement with your club facility owner).
B. Club Name - Upon receipt of written authorization (Club Permit Certificate) from the WHRDA and signed by the Founder/ President, the Club shall use the name of this Association in the following manner only: HWA RANG DO
® CLUB of (city/state location) and/or TAE SOO DO® CLUB of (city/state location) - an authorized club of the World Hwa Rang Do Association
C. Licensing - All clubs must be licensed and authorized by the WHRDA (Club Permit Certificate)
01. Submit a Club Permit Application (WHRDA Form # A-017) to the WHRDA prior to opening with appropriate fees.
02. Renew this Club Permit on an annual basis 30 days prior to expiration with proper fees.
D. Reporting
01. File monthly reports ( WHRDA Forms # A-002, A-020) with the governing Academy or Hdqts. as indicated on your club permit certificate).
02. Follow up to ensure that all students are current with their WHRDA membership (that all have received their passports).
03. Report the findings of pertinent Committee suggestions to the Governing Academy (if applicable) or State Hdqts. (if applicable) or Country Hdqts. (if applicable) and the World Hdqts. for permission for implementation (WHRDA Form # A-025).
E. Testing - All Kub testing is done at the club's governing Academy (or State Hdqts., or Country Hdqts. or World Hdqts) (unless indicated otherwise in writing from the WHRDA World Hdqts.)
3.05.04 Committee Structure
A. Sun Bae Committee (Club Instructor and highest ranking students):
01. Defined - The Sun Bae Committee is the overseeing committee at the Club level. It's primary function is to contribute to the efficient operations of the Club . It receives the reports of the Student Committee (s); the Parent's Committee and the Advisory / Support Committee and after review, reports their findings to the Governing Academy and to the WHRDA World Hdqts.
02. Requirements - Appointment by Club Instructor
03. Job Description:
a. Reports it meetings and findings to the Governing Academy prior to any action.
b. After review of the committee's findings, it may either accept these recommendations or return the proposal back to the committee for further review and consideration.
c. After reporting the Committee's findings to the Governing Academy, permission to proceed is granted or denied.
04. Reports to - Governing Academy (or State Hdqts. or Country Hdqts.) & WHRDA World Hdqts.
B. Advisory / Support Committee:
01. Defined - The Advisory / Support Committee is comprised of distinguished individuals who will act in an advisory capacity to assist in decisions made by the Sun Bae Committee. These individuals have generally distingushed themselves in their positions as leaders of the community and their profession (Government, Corporate, Humanitarian, Education, Professional) and who wish to further support the Club. There is no limit to the number of individuals in this committee.
02. Requirements - Appointment by Club Instructor
03. Job Description - To meet with other committee members to: Formulate answers to problems encountered in specific cases, increase productivity / enhance programs currently in place, assist in the growth of the Club and the stated goals of the WHRDA
04. Reports to - Sun Bae Committee
C. Student Committee:
01. Defined - The Student Committee oversees the Special Events Committees, each dealing with specific events to enhance the Club and the WHRDA. These special event committees include, but are not limited to:
a. Club Banquet Committee
b. Holiday / Party Committees
c. Specific Fundraising Committees
d. Charitable Community Events Committees
02. Requirements - Current status as member of WHRDA and approval of your instructor.
03. Job Description - Oversees student activities, jobs differ according to specific committees needs.
04. Reports to - Sun Bae Committee
D. Parent's Committee:
01. Defined - A Parent's Committee assists the various Student Committees in the implementation of the various projects undertaken by them. The parents are encouraged to participate in all aspects in an advisory and helpful manner.
02. Qualifications - Active in Club/ Academy functions
03. Job Description - Advisory Committee for Student Committee. Assists in various Club functions
04. Reports to - Sun Bae Committee
3.05.05 Penalties / Termination
A. All penalties that are applicable to Instructors apply to clubs.
B. Any terminated Black Belt / Instructor cannot teach HWA RANG DO
® and/or TAE SOO DO®, and any club or place must be closed down (or switched to another Certified Black Belt / Instructor after the newly appointed Black Belt / Instructor fulfills the necessary criteria and obtains the necessary Permit Certification from the WHRDA to do so).
C. In the event of termination, all certifications, passports or paperwork must be returned to the WHRDA World Hdqts.
01. Upon termination, the offending individual must cease using the art's name (HWA RANG DO® or TAE SOO DO® or any similar variation), master's name, techniques, uniforms, and/or patches in any commercial, noncommercial, public, or private instruction of martial arts, athletics, sports, or therapies, whether it be in person or through any communications medium .
02. If the offending individual refuses to abide by the above requirement within three months:
a. The WHRDA reserves the right to publish his/her name and a description of the violations that led to his/her termination in any medications medium, including the HWA RANG DO World Headquarters website;
b. Because the resulting damages to the reputation, coherence, and stability of the martial art HWA RANG DO®/TAE SOO DO® would be impracticable to determine or quantify, the offending individual agrees to pay the sum of $20,000 to the WHRDA as liquidated damages. These liquidated damages are to be in addition to any injunctive relief and forfeiture of profits available under applicable contracts and law.
c. If any legal action, including arbitration or an action for declaratory relief, is brought to enforce or interpret the provisions of these Rules and Regulations (regardless of whether the legal claims sound in contract, tort, or any other applicable body of state or federal law), the prevailing party shall be entitled to recover reasonable attorneys' fees from the other party. These fees, which may be set by the court in the same action or in a separate action brought for that purpose, are in addition to any other relief to which the prevailing party may be entitled.
d. Any litigation arising out of the enforcement of these Rules and Regulations shall be brought in the courts located in the State of California. Any litigation brought in federal court will be brought in the Central District of California. Any litigation brought in state court will be brought in the state courts of either Los Angeles County or Orange County. In joining the WHRDA, individuals hereby expressly consent to the exercise of personal jurisdiction by any and all courts located in the State of California for claims that arise out of their relationship with the WHRDA.

Section 3.06 Academies:

3.06.01 Defined - An accredited, licensed teaching facility that is operated on a full-time basis. The WHRDA shall have the authority and power to establish any academies from time to time. The Board of Directors shall establish the criteria and application process for the development of academies, delineation of both legal and financial obligations and relationships between this association and such academies .

All academies must be established and operated within the defined guidelines of the WHRDA Bylaws and Rules & Regulations and may not deviate without written Board Approval and President's signature as required. Further responsibilities and duties are as outlined in the attached Rules and Regulations.
3.06.02 Qualifications
A. Meet all requirements of Instructors (Article II,Section A) of these Rules & Regulations
B. Meet all requirements of Clubs (Article II, Section B) of these Rules & Regulations
C. Any WHRDA licensed instructor who obtains permission and authorizations from the WHRDA to operate an Academy, and who abides by the Rules & Regulations herein.
3.06.03 Procedures: All Academy owners shall comply with the stipulations set forth below:
A. Rules
01. All rules and regulations pertaining to Black Belts / Instructors are in effect.
02. Follow up to ensure that all students and Black Belts under your control are current with their WHRDA membership obligations
03. You are responsible for pertinent information regarding WHRDA to be distributed to your students in a timely manner.
04. You receive all WHRDA sanctioned uniforms, equipment and sales items at wholesale rates, with retail profits going to the Academy.
05. You may only purchase uniforms and martial arts gear through the WHRDA.
06. You receive 100 % of all lesson fees charged at your academy.
B. Academy Name - Upon receipt of written authorization (Dojang Authorization Certificate) from the WHRDA World Headquarters and signed by the President - the Academy shall use the name of this Association in the following manner only: HWA RANG DO
® ACADEMY of (city/state location) and/or TAE SOO DO® ACADEMY of (city/state location - an authorized academy / club / affiliate of the World Hwa Rang Do Association )or as directed on the official DOJANG AUTHORIZATION certificate.
C. Licensing:
01. Submit an Academy permit application ( WHRDA Form # A-017) with the Int. Hdqts. prior to opening with appropriate fees
02. Renew Academy permit on an annual basis 30 days prior to expiration with proper fees.
03. Display your Academy authorization certificates prominently
04. The certification fees are to be renewed annually, on the anniversary of the authorized opening of the Academy; Club; or Affiliate.
D. Reporting:
01. You are responsible for the proper reporting of the clubs under your control (approval of these clubs will be given in a separate club permit application).
02. File monthly reports ( WHRDA Form # A-002, A-003, & A-020) with your state headquarters (if applicable) or Country Hdqts (if applicable) and World Hdqts. You will be appraised who to send your reports to.
E. Testing
01. Testing is allowed only at authorized Academy
02. You receive 50 % of the testing fees accrued from Kub Testing (as indicated on WHRDA Form # A-005)
03. Send 50 % of the testing fees accrued from Kub Testing to your State/Province Hdqts (if applicable) (or Country Headquarters (if applicable) or World Headquarters). You will be appraised who to send it to.
04. Results of the numbered promotional examination (on WHRDA Form # A-002) will be sent to the applicable Hdqts. and World Hdqts.
3.06.04 Committee Structure
Follow the guidelines indicated in the WHRDA Committee Turnkey Program
A. Black Belt / Instructor Committee:
01. Defined: The Instructor / Black Belt Committee is the overseeing committee at the Academy level. It's primary function is to contribute to the efficient operations of the Academy. It receives the reports of the Clubs under its jurisdiction , Student Committee (s); the Parent's Committee and the Advisory / Support Committee and after review, reports their findings to the State / Province Hdqts. (if applicable) or the Country Hdqts. (if applicable) and to the WHRDA World Hdqts. It is comprised of (1) Chairman, (2) Vice-Chairmen, (1) Secretary, (1) Treasurer & all Black Belts and Instructors of the Academy and its clubs.
02. Requirements: Appointment by Academy Owner
03. Job Description:
a. Reports it meetings and findings to the State / Province Hdqts. (if applicable) or to the Country Hdqts. (if applicable) and to the WHRDA World Hdqts. prior to any action.
b. Receives and reviews all reports from all standing and ad-hoc committees for consideration
c. Ensure that all proposals conform to the bylaws, goals and objectives of the WHRDA
d. After review of the committee's findings, it may either accept these recommendations or return the proposal back to the committee for further review and consideration.
e. After reporting the Committee's findings to the appropriate Hdqts., permission to proceed is granted or denied.
f. Oversees the Kub Level Testing and ensures all compliance with the WHRDA rules and regulations regarding testing.
04. Reports to: State / Province Hdqts. (if applicable) or Country Hdqts. (if applicable) and WHRDA World Hdqts.
B. Advisory / Support Committee:
01. Defined: The Advisory / Support Committee is comprised of distinguished individuals who will act in an advisory capacity to assist in decisions made by the Instructor/ Black Belt Committee. These individuals have generally distingushed themselves in their positions as leaders of the community & their profession (Government, Corporate, Humanitarian, Education, Professional, etcetera) and who wish to further support the Academy. Section 3.07 State / Provincial Headquarters:

3.07.01 Defined - Each state or province may establish it's state/ provincial headquarter office as dictated by the WHRDA national headquarters( if applicable ) or by the World Hdqts. Such a headquarters is generally located at an existing Academy. Further responsibilities and duties are as outlined in the attached Rules & Regulations.
3.07.02 Qualifications
A. A minimum of ten (10) active clubs and/or academies in the state / province are needed to establish a state headquarters (either HWA RANG DO
®, TAE SOO DO® or a combination) unless otherwise decreed by the Founder / President.
B. In special circumstances, state/ provinces with less than the required ten (10) active academies may establish a state/ province headquarters, but it must be approved by the Founder/ President.
3.07.03 Procedures - The rules and regulations regarding these state headquarters are set forth below:
A. Rules:
01. All rules and regulations regarding Academies (Section II, Article D) are in full effect.
B. Licensing:
01. The WHRDA World Hdqts. will award the license of State/ Province Hdqts. to only one Academy location per State / Province.
02. In certain instances, multiple academy locations may be designated as a State / Province Headquarters, though there is only one State / Province organization.
C. Reporting:
01. State hdqts. receives all reports from academies and clubs in its jurisdiction and forwards these reports to CountryHdqts. (or in its absence to World Hdqts.).
D. Testing:
01. Unless otherwise directed, collects 50 % of testing fees from Academies / Clubs.
02 . Keeps 25 % of testing fees from Academies and Clubs.
03. Forwards 25 % of testing fees to the Country Hdqts. (or in it's absence, the World Hdqts.)
3.07.04 Organizational Structure
A. State/Province Organization:
01. Sets up subsidiary state organization in the same format as the WHRDA, with similar functions, sending all reports to Country Headquarters (or in its absence, the World Hdqts).
02. Appointed president of state/ province hdqts. sits on the Country Hdqts. Board of Directors (if applicable).
03. Academy site of the State/ Province Organization maintains its obligations of an Academy and must follow the rules and regulations that pertain to Academies.
B. Committee Structure - Follow the guidelines indicated in the WHRDA Committee Turnkey Program. Unless otherwise directed, each committee has a single chairman who is the spokesman for the committee and is responsible for reporting the committee's findings to the appropriate individual or group. This Chairman is also responsible for relaying the findings of the governing Committee or Group back to the Committee. Unless otherwise directed, two (2) vice-chairmen will assist the Chairman in his/her duties, and are responsible directly to the requests of the Chairman. (1) Secretary and (1) Treasurer will be appointed as well.
C. Master Committee:
01. Defined - The Master's Committee is the overseeing committee at the State / Province level. It is empowered to handle the added responsibility of overseeing all the committees. It's primary function is to contribute to the efficient operations of the WHRDA on a state/province level and to forward information and reports to the Country Hdqts.and the World Hdqts.
02. Requirements - Master status in HWA RANG DO
®, appointment by Country Hdqt. President & approval of WHRDA.
03. Job Description:
a. Reports its meetings and findings to the Country Hdqts. and the WHRDA World Hdqts. prior to any action. After reporting the Committee's findings to the appropriate Hdqts., permission to proceed is granted or denied.
b. Receives and reviews all reports from all standing and ad -hoc committees for consideration and board action.
c. Review program plans, administrative plans, and operational plans; review the progress of all committees and evaluate all business affairs for effectiveness.
d. Review all financial dealings re: state / province
e. Prepare a budget for the ensuing fiscal year and submit for consideration and approval of the Country Hdqts. (if applicable) or World Hdqts.
f. Ensure compliance with all necessary government agencies.
g. Ensure that all committee reports are submitted for appropriate filing of corporate records by Country Hdqts and World Hdqts.
h. Receive and review proposed resolutions. These proposals may originate from, members, board of directors, other committees or this committee acting on its own initiative.
i. Ensure that all proposed declarations under consideration conform to the bylaws, goals and objectives of the WHRDA.
j. After review of a committee's recommendations, it may either accept these reconmmendations or return the committee's proposal back to the committee for further review and consideration
04. Reports to: Country Hdqts and World Hdqts.
D. Black Belt / Instructor / Owner Committee:
01. Defined - The Instructor / Black Belt Committee is the support arm of the Master's Committee. It's primary function is to contribute to the efficient operations of the State / Province Organization. It receives the reports of the Clubs and Academies under its jurisdiction, Student Committee (s); the Parent's Committee and the Advisory / Support Committee and after review, reports their findings to the Master's Committee.
02. Requirements - WHRDA Licensed Black Belt / Instructor / Owner in good standing. Appointment by Master's Committee with approval of WHRDA.
03. Job Description:
a. Reports it meetings and findings to the Master' s Committee

f. Oversees the Kub Level Testing and ensures all compliance with the WHRDA rules and regulations regarding testing

E. Advisory / Support Committee:
01. Defined - The Advisory / Support Committee is comprised of distinguished individuals who will act in an advisory capacity to assist in decisions made by the Masters Committee. These individuals have generally distingushed themselves in their positions as leaders of the community and their profession (Government, Corporate, Humanitarian, Education, Professional) and who wish to further support the Academy. There is no limit to the number of individuals in this committee.
02. Requirements - Appointment by Master's Committee.
03. Job Description - To meet with other committee members to: Formulate answers to problems encountered in specific cases, increase productivity / enhance programs currently in place, assist in the growth of the Academy and the stated goals of the WHRDA
04. Reports to - Master's Committee Committee.
F. Public Relations Committee:
01. Defined - The public relations Committee contributes to the effective development of an on-going public relations program that will enhance the image and status of the WHRDA with the general public, the corporate world, and government sector on a local community through international scale.
02. Requirements - Appointment by Master's Committee
03. Job Description:
a. Develop the appropriate public relations policies and procedures for the WHRDA on a State / Province level.
b. Assist with devloping ad campaigns and overall public relations
04. Reports to - Master's Committee
G. Finance Committee:
01. Defined - The finance Committee assists the Treasurer in preparing the budget for the presentation to the Master's Committee.
02. Requirements - Appointment by the Board of Directors

H. Membership Committee:
01. Defined - The Membership Committee recommends activities and policies relating to the development and maintenance of membership services.
02. Requirements - Appointment by the Master's Committee.
03. Job Description - Develops programs for increasing membership and to service the needs of current members.

I. Judicial Committee:
01. Defined - The Judicial Committee implements the ethical guidelines set forth for the members of the WHRDA. It also sets hearings and any disciplinary actions for any violations of these Bylaws and Rules and Regulations.
02. Requirements - Appointment by the Master's Committee.
03. Job Description:
a. Receives all reports concerning disciplinary actions or violations of these Bylaws and rules and regulations.
b. Sets hearings on disciplinary actions.
c. Reviews each case and makes recommendations for penalties / termination or relief.
d. ALL cases regarding termination must be brought to the attention of the WHRDA Country Hdqts. (if applicable) and the World Hdqts. prior to any action. In most cases, the decisions reached by the State/ Province Master's Committee will be upheld.
04. Reports to - Masters Committee
J. Testing Committee:
01. Defined - The Testing Committee oversees that proper kub testing requirements are fulfilled (all Black Belt tests are conducted at World Hdqts. unless otherwise dictated.

03. Job Description:
a. Conducts promotional examinations.
b. Sees that all testing results are submitted on time.

01. Defined: The Special Events Committee oversees a number of ad-hoc committees, each dealing with specific special events to enhance the WHRDA. These committees include, but are not limited to:

02. Requirements - Appointment by Master's Committee.

3.07.05 Penalties / Termination
A. All penalties applicable to Instructors / Clubs / Academies are in effect.
B. Penalties may be assessed by the Country Hdqts and/ or the World Hdqts. upon the infringement of any of the rules and regulations found herein, dependant upon the severity of the situation.
C. In the event of termination of a state/ province hdqt., the new location (if appropriate) will be at the discretion of the WHRDA Board of Directors.
D. In the event of termination, all certifications, passports or paperwork must be returned to World Hdqts. by order of the Board of Directors.
01. Upon termination, the offending individual must cease using the art's name (HWA RANG DO® or TAE SOO DO® or any similar variation), master's name, techniques, uniforms, and/or patches in any commercial, noncommercial, public, or private instruction of martial arts, athletics, sports, or therapies, whether it be in person or through any communications medium .
02. If the offending individual refuses to abide by the above requirement within three months:
a. The WHRDA reserves the right to publish his/her name and a description of the violations that led to his/her termination in any medications medium, including the HWA RANG DO World Headquarters website;
b. Because the resulting damages to the reputation, coherence, and stability of the martial art HWA RANG DO®/TAE SOO DO® would be impracticable to determine or quantify, the offending individual agrees to pay the sum of $20,000 to the WHRDA as liquidated damages. These liquidated damages are to be in addition to any injunctive relief and forfeiture of profits available under applicable contracts and law.
c. If any legal action, including arbitration or an action for declaratory relief, is brought to enforce or interpret the provisions of these Rules and Regulations (regardless of whether the legal claims sound in contract, tort, or any other applicable body of state or federal law), the prevailing party shall be entitled to recover reasonable attorneys' fees from the other party. These fees, which may be set by the court in the same action or in a separate action brought for that purpose, are in addition to any other relief to which the prevailing party may be entitled.
d. Any litigation arising out of the enforcement of these Rules and Regulations shall be brought in the courts located in the State of California. Any litigation brought in federal court will be brought in the Central District of California. Any litigation brought in state court will be brought in the state courts of either Los Angeles County or Orange County. In joining the WHRDA, individuals hereby expressly consent to the exercise of personal jurisdiction by any and all courts located in the State of California for claims that arise out of their relationship with the WHRDA.

Section 3.08 Country Headquarters:

3.08.01 Defined - The World Hwa Rang Do® Association is the singular government in the world. The title of WHRDA Country Headquarters is granted by the WHRDA to qualifying countries. Each country may establish its national headquarters office as granted by the WHRDA World Hdqts. with the sanction and approval of the founder / president. The rules and regulations regarding these national headquarters are set forth below:

This is to be held under the authority of the WHRDA, with that appointed president acting as the WHRDA agent (if it is not legally possible for the WHRDA World Hdqts. to do so).

Section 3.09 World Headquarters:

3.09.01 Defined: - The World Headquarters office is currently located at 13762 Newport Ave. #201 Tustin, CA 92780 . The World Headquarters is wherever the permanent teaching location of the Founder / President is designated. Further responsibilities and duties are as outlined in the attached Rules and Regulations. The country that houses the World Headquarters does not need a separate Country Headquarters.
A. All matters concerning teaching methods, technical support, education, publications and training of HWA RANG DO
® and TAE SOO DO® emanate from the World Hdqts. under the final authorization of the Founder/ President.
B. Responsible to receive all reports from all hdqts, academies, clubs, affiliates and reports to WHRDA Board of Directors and Founder / President.
3.09.02 Procedures - The World Headquarters oversees the Country Headquarters and reports all findings to the World Hwa Rang Do
® Association Board of Directors.

01. Defined - The public relations Committee contributes to the effective development of an on-going public relations program that will enhance the image and status of the WHRDA with the general public, the corporate world, and government sector on a local community through international scale.

01. Defined - The Special Events Committee oversees a number of ad-hoc committees, each dealing with specific special events to enhance the WHRDA. These special event committees include, but are not limited to:
Banquet Committee
Tournament Committee
Seminar Committee
Newsletter Committee
Holiday / Party Committees
Specific Fund-raising Committees
Awards Committee

02. Requirements - Appointment by Board of Directors.
03. Job Description - Dependant upon individual ad-hoc Committee requirements.
04. Reports to - These ad-hoc committees report to the Special Events Committee, who in turn reports their findings, recommendations and activity to the Master's Committee.

Section 3.10 WHRDA

3.10.01 Board Definition - All matters concerning HWA RANG DO® and TAE SOO DO® are under the jurisdiction and control of the WHRDA Board of Directors and the Founder/ President. Identical Board Definitions are to be duplicated for each of the following levels: World Headquarters; Country Headquarters; State / Provincial Headquarters; Academy and Clubs. The WHRDA Board of Directors will ultimately review and pass judgement on the findings and recommendations brought forth by these subsidiary Boards of Directors through the reports of the appointed President of the Country Headquarters (a WHRDA Board Member). The WHRDA's Board Definition is as follows:

3.10.02 Finances - Monies received by the WHRDA (and processed through the World. Hdqts.) include, but are not limited to , the following sources:
A. Donations / Grants / Outside Support (*)
B. Professional Membership Assessments
C. Academy / Club / Affiliate Assessments
D. Corporate or Company Membership Assessments (*)
E. Student / General Membership Assessments (*)
(*) - The funds so indicated above may be received (with prior written agreement and authorization from the WHRDA Board of Directors) by qualifying Country Hdqts.
3.10.03 Pioneer's Fund - A fund is authorized to be established to act as a retirement fund for individuals who have spent a specified period of time devoting their efforts to HWA RANG DO
® & TAE SOO DO®'s success. These individuals include the Founder / President and others who meet the qualifications set forth by the WHRDA Board of Directors. The monies received by these individuals are subject to review and approval by the Board of Directors and the President, and will be dispersed according to their dictates.

ARTICLE IV. BOARD OF DIRECTORS

Section 4.01 General Powers & Duties

4.01.01 WHRDA Board of Directors - Subject to the provisions and limitations set forth in the Bylaws of the WHRDA, or as may be established by resolution of the Founder / President and Board of Directors from time to time, the business and affairs of the association shall be managed, directed and all association powers be exercised by and under the direction of the Board of Directors and the President. The Board of Directors must conduct the affairs of the association for the best interest of the WHRDA and its membership. Each Board Member has one vote to cast in all matters that concern the Board. The Founder / President has veto power over any resolutions that the Board of Directors acts upon.
4.01.02 Subsidiary Boards of Directors - As defined in Article III, Section 3.10.01 of these bylaws, Boards of Directors are to be convened at the World Hdqts.; Country Hdqts.; State / Provincial Hdqts. and at the Academy & Club levels. These Boards and their Definition is duplicated at each of these levels, however, they serve in an advisory capacity only for the benefit of input to the WHRDA Board of Directors.

Section 4.02 Number & Qualifications - The authorized number of directors shall not be less than five (5) nor more than fifteen (15) members as may be determined by resolution of the Board of Directors and the President from time to time. This number may increase by one as each new Country Headquarters is represented, or as deemed necessary by the Board of Directors and the Founder /President. The eligibility requirements to sit on the Board of Directors are 1) Active Master Status (or above) in HWA RANG DO® and/or 2) appointment by the President.

Section 4.03 Election / Appointment & Term of Office - The board directors are appointed by the President (founder). Unless otherwise directed, the term of office is permanent, until termination, resignation, or death.

Section 4.04 Vacancies - A vacancy in the Board of Directors shall be deemed to exist on the occurrence of any of the following events:

4.04.01 The death, resignation, or removal of any director.
4.04.02 The action of the Board of Directors declaring a vacancy of the office of a director who had been declared of unsound mind or convicted of a felony or has been found by final order or judgement to have breached a duty to the WHRDA.
4.04.03 The increase of the authorized number of directors.
4.04.04 The loss of membership in good standing in the association for any reason.

Section 4.05 Removal of Directors - The Board of Directors may vote to remove an officer or Director in accordance with the established policies and procedures of the WHRDA and/ or upon demand of the President/ founder.

Section 4.06 Regular & Special Meetings of the Board:
A. Regular & Special meetings of the Board of Directors may be held at any place as designated by the Board from time to time. In the absense of such designation, regular meetings shall be held at the principle executive office of the association. Special meetings may be held at any place designated in the notice of the meeting, or, if not stated in the notice, at the executive office of the association.
B. Any meeting, regular or special, may be held by conference telephone or similar communications equipment, so long as all directors participating in the meeting can hear one another; all such directors shall be deemed to be personally present at such meeting.
C. The WHRDA Board of Directors shall hold its annual meeting for the years review and transaction of all other business on the second Saturday of October.

Section 4.07 Quorum & Adjournment - A majority of the authorized number of Directors shall constitute a quorum for the transaction of business, except to adjourn as may be provided in these Bylaws. Actions taken by a majority of the Directors present at a meeting duly held with a quorum present shall be regarded as the act of the Board of Directors. A meeting at which a quorum is initially present may continue to transact business, notwithstanding the withdrawal of directors, if any action taken is approved by at least a majority of the required quorum for that meeting. A majority of the directors present, whether or not constituting a quorum, may adjourn any meeting to another time and place.

Section 4.08 Action Without a Meeting - Action required or permitted to be taken by the Board of Directors may be taken without a meeting if all members of the Board, individually or collectively consent in writing tothat action and file such consent with the minutes of the proceedings of the Board. Such action by written consent shall have the same force and effect as may poll on a specific matter by telephone subject to the ratification at the next scheduled Board Meeting.

Section 4.09 Notice - Notice of the time and place of special meetings shall be given to each director by one of the following methods: a) personal delivery of written notice; b) directly to the director; or c) by telegram. All such notices shall be given or sent to the director's last address or telephone number as shown in the records of the association. The notice shall state the date, time, place and general purpose of the meeting. Notices sent by mail shall be postmarked at least five (5) days before the time set for the meeting. Notices given by personal delivery, telephoned or by telegraph shall be delivered, telephoned or telegraphed at least forty-eight (48) hours before the time set for the meeting.

Section 4.10 Committees of the Board - The Board of Directors, by resolution, may from time to time designate such committees as it shall desire, and may establish the purposes and powers of each such committee created. Further clarification is found in Article VI of these Bylaws and in the Rules and Regulations.

ARTICLE V. OFFICERS

Section 5.01 Designation - The principal officers of the WHRDA shall be the President, Chief Vice-President, Vice-President (s), a Secretary and a Treasurer. Officers other than the President need not be Directors. One person may hold more than one office. The founder of the WHRDA holds the position of President until he deems otherwise.

Section 5.02 Eligibility Requirements - The eligibility requirements for the officers of the association are sufficient formal academic education and experience in HWA RANG DO® and TAE SOO DO® as the President sees fit.

Section 5.03 Appointment & Length of Term - The officers of the Association shall be appointed by the President and shall serve a 2 year term unless otherwise specified, pending continual review of performance.

Section 5.04 Removal of Officers - Any officer may be removed subject to the provisions of the policies and procedures of the association; and / or at the demand of the President; and / or a majority rule of the Board of Directors, where a full quorum is present. An officer may resign by giving written notice to the association coupled with a board review of the resignation.

Section 5.05 Vacancies - A vacancy in any office whether caused by death, resignation, removal, disqualification or any other cause after commencement of the term of office, shall be filled by an appointment of the President.

Section 5.06 Compensation - Officers, agents, and employees shall receive such reasonable compensation for their services as may be authorized or ratified by the Board of Directors and approved by the President.

Section 5.07 President - The President shall supervise, direct and manage the business of the association. The president shall preside at all meetings of the Board of Directors, unless otherwise stipulated. The President shall have such other powers as are commensurate with the office and such other powers and duties as may be prescribed by the Board of Directors and / or these bylaws. The President's position is a lifetime tenure and is passed to the next President solely by his authority. Even upon active retirement, the Founder can still exercise veto power over the Board of Directors.

Section 5.08 Chief Vice-President - In the absence of the President, and with the President's authority, the Chief Vice-President shall perform the duties of the president and when so acting, shall have the powers inherent with the office as it pertains to association. The vice-president shall be responsible to the President, and Board of Directors regarding all matters faced by the association.

Section 5.09 Vice-President (s) - The Vice President (s) shall perform such duties as shall from time to time be imposed upon him by the President, the Chief Vice-President and the Board of Directors. Generally, these positions are specific to certain fields, such as business, technology, marketing, etcetera and will be appointed by the president as he sees fit.

Section 5.10 Secretary - The secretary shall keep or cause to be kept, at the principle executive office, a book of minutes of all meetings and actions of the members, directors, committees, whether regular or special, and if special, how authorized, the notice given, attendees and the proceedings of all meetings. The Secretary shall keep or cause to be kept, a record of all association members, listing the names and addresses of all members and the class of membership held by each member.

The Secretary shall give or cause to be given, notice of all meetings of the members, the Board of Directors and committees as may be required by these bylaws. The Secretary shall keep the seal of the association and shall have other powers and duties as may be prescribed by the Board of Directors or these bylaws. The Secretary shall be responsible to the President and Board of Directors. The Secretary is responsible to see that all legal filings for the WHRDA are in order.

Section 5.11 Treasurer - The Treasurer shall keep or cause to be kept at the principle executive office of the association, appropriate books, records and accounts of all properties and business transactions of the association including accounts of its assets, liabilities , receipts, disbursements, gains, losses, capital and other matters customarily included in financial statements. The books and records shall be open to inspection by the President at any time.

The Treasurer or other Board designated officer shall deposit or cause to be deposited all money and other valuables in the name and credit of the association with such depositories designated by the President and the Board of Directors; shall cause to be disbursed the funds of the association as directed by the President and the Board of Directors; shall cause to render to the officers and directors an account of all transactions and the financial condition of the association; and shall have other powers and duties as may be prescribed by the Board of Directors or these bylaws.

If required by the President and / or Board of Directors, the Treasurer and other Board designated officers shall give the association a bond in the amount and with the surety specified by the Board to secure the performance of the Treasurer's or other designated officer's duties and for the restoration of the corporation's books, records, documents, money and other property of every kind in the possession or control of the Treasurer or other designated officer at the time of his/her death, resignation, retirement, termination or removal from office.

Section 5.12 Additional Officers - If the addition of additional officers is deemed appropriate by the Board of Directors and / or the founder / president, these positions may be added at any time.

ARTICLE VI. COMMITTEES

Section 6.01 Definitions & Duties - The Board of Directors may designate one or more committees, with each committee consisting of one or more directors, to serve at the pleasure of the President. Any Committee, to the extent authorized by the board, shall have all the authority of the board except that no committtee may:
6.01.01 Take any final action on matters which require the approval of the Board of Directors and President.
6.01.02 Fill vacancies on the Board of Directors or on any committee which has the authority of the board.
6.01.03 Shall not have the power to bind the WHRDA to any obligation without prior consent of the WHRDA board of directors and president.
6.01.04 Amend, repeal or adopt new Bylaws.
6.01.05 Expend association funds without consent of the board of directors.

Section 6.02 Advisory Committee - The WHRDA shall have an Advisory Committee comprised of distinguished individuals who will act in an advisory capacity to assist in decisions made by the Board of Directors as the needs arise. These Advisors are appointed by the Board of Directors and / or the President and do not vote on any matter.

Section 6.03 Standing Committees - The Board of Directors may establish any Standing Committee from time to time as it sees fit. Current Standing Committees are headed by an appointed Chairman of the Committee (generally a Board Director). Current Standing Committees include:
A. Master's Committee
B. Advisory Committee
C. Public Relations Committee
D. Finance Committee
E. Membership Committee
F. Judicial Committee
G. Quality Control Committee and
H. Testing & Licensing Committee
I. Special Events Committee
J. (at Academy & Club levels, the Standing Committees include:
Instructor / Black Belt Committee
Student Committee
Parent's Committee

Section 6.04 Ad Hoc Committees - The Board of Directors may establish any Ad Hoc committee from time to time as it sees fit. These Committees may continue for the life of the specific need or they may be incorporated into a Standing Committee as the board of directors sees fit. Each Committee shall make its report to the Board of Directors and the President at each regular meeting of the Board, unless otherwise directed.

Section 6.05 Meetings and Committee Actions - Meetings and actions of committees shall be governed by and interpreted in accordance with the provisions of these bylaws with such changes as are necessary to substitute the committee for the Board of Directors, except that the time of regular meetings of committees may be determined either by the Board of Directors or by the committee. Special meetings of committees may also be called by the Board of Directors. Minutes shall be kept of each meeting of any committee and shall be filed with the Association records. The Board of Directors may adopt rules for governing any committee not consistent with these bylaws.

ARTICLE VII. MEMBERSHIP

Section 7.01 Categories of Membership - Membership in the WHRDA is composed of the following categories: Students / General; Black Belts; Corporate; Honorary; Professional.

Section7.02 Student / General Members - Defined: Anyone who practices the martial art of HWA RANG DO® and/or the martial sport of TAE SOO DO® is considered a student until otherwise amended. Members who are not included in the other categories fall into the category of Student / General membership and are dues paying members.

Section 7.03 Black Belts - Defined: Any individual who has successfully met the requirements set forth in the student manual and tested for and received their black belt through the WHRDA. They are dues paying members who enjoy the priviledges of student/ general membership.

Section 7.04 Corporate or Company Members - Defined: Any Business entity or business organization which has or seeks to develop a company policy to actively engage in the development of business relations coupled with the instruction of HWA RANG DO® and/or TAE SOO DO® for its officers / employees; and /or a supporting / sponsorship type role in the furthering of the WHRDA's stated goals and has demonstrated such efforts may become a corporate member upon approval of their application for membership by the Board of Directors. Corporate members may serve on the Advisory Board , pending approval by the Board of Directors. They are dues paying members who are not entitled to vote on matters brought before the Professional Voting Membership.

Section 7.05 Honorary Members - Defined: Honorary members are individuals (or Companies) who have made notable and significant contributions to further the goals of the WHRDA. These distinguished individuals are appointed by the Board of Directors and are not required to pay financial dues. These members are invited to participate in all WHRDA activities, but are not entitled to vote on matters brought before the Professional Voting Membership.

Section 7.06 Professional Members

7.06.01 Defined: A professional membership is declared when it is the intent to disperse the teachings of the martial art(s) of HWA RANG D O® and/or TAE SOO DO® There are two sub-divisions of professional members in the WHRDA: a) Voting Members, and b) Non-Voting Members with their specific rights, benefits and duties set forth in these bylaws. The professional member must have agreed to and signed the WHRDA/Professional Member Agreement form (WHRDA Form # A-013) and to abide by the attached rules and regulations.
7.06.02 Voting Members - Until otherwise amended, only Board of Directors and Officers on the Board are voting members in the WHRDA, with each member entitled to one vote.
7.06.03 Non-Voting Members - Until otherwise amended, the remainder of the WHRDA membership is in the category of non-voting membership.
7.06.04 Duties - All duties, responsibilities and obligations stipulated in the Rules and Regulations and Professional Member Agreement must be adhered to.

Section 7.07 Good Standing - In addition to compliance wtih the other requirements of membership which may be set forth in these bylaws and Rules and Regulations or by resolutions of the board of directors, WHRDA members must pay their annual membership fees within 30 days of receipt of their WHRDA invoice in order to remain a member in good standing. Only members in good standing are entitled to vote (when applicable) and/or are entitled to participate in the activities and benefits of the WHRDA .

Section 7.08 Transfer of Membership - Membership in the WHRDA may not be transferred for any reason.

Section 7.09 Membership Termination / Suspension / Expulsion/ Rank Reduction:

7.09.01 Defined: Following the determination of the objectionable conduct by the Judicial Committee, a member may be terminated, suspended, expelled or reduced in rank for a violation of an established policy of the Association, as indicated in these bylaws and in the attached rules & regulations. Acts that violate the membership code of ethics, the Board of Directors shall take appropriate action after the matter has been reviewed by the Judicial Committee and has considered their recommendation.
7.09.02 Future Amendments - These bylaws may be amended to provide for additional membership qualification requirements. Additionally, the Board of Directors may also establish membership qualification requirements. However, any such additional requirements shall not eliminate any existing members remaining eligibility so long as they are in good standing and have not violated any provisions of the Rules & Regulations.

Section 7.10 Meetings - The membership is encouraged to meet together on their own volition or as set up by their individual academy or club, until otherwise amended.

ARTICLE VIII. RECORDS AND REPORTS

Section 8.01 Association Records - The association shall keep the following records at it's Principle Office:

8.01.01 Adequate and correct books and records of accounts, financial reports, checking accounts, depository records and such other documents designated by the Board.
8.01.02 Minutes in written form of the proceedings of the members, Board and Committees and a record of its members, listing their names, account #; addresses, class of membership, and any other pertinent information as directed by the Board.

Section 8.02 Annual Report to Members - An annual report to the membership at large shall be prepared subject to the authorization of the Board of Directors and the President. Such report shall include basic fiscal assets and liabilities as well as projects completed and the status of ongoing projects as of the date of the report.

ARTICLE I X. CONSTRUCTION AND DEFINITIONS


Section 9.01 Construction of Bylaws
- The general provisions, rules of construction, and the definitions in California Association law shall govern the construction of these Bylaws. Without limiting the generality of the above, the masculine gender includes the feminine and neuter, the singular number includes the plural and the term "person" includes both the association and a natural person.

Section 9.02 Conflicting Provisions - In case any of these Bylaws conflict with any provisions of the laws of the state of California, such conflicting Bylaws shall be null and void upon final court determination to such effect, but all other Bylaws shall remain in full force and effect.
Section 9.03 Venue - In case any prosecution is brought about regarding these Bylaws, the court of venue will be in Los Angeles, California, unless otherwise amended in written form.

ARTICLE X. INDEMNIFICATION OF DIRECTORS & OFFICERS


The Board may authorize the Association to pay expenses incurred by, or to satisfy a judgement or fine levied against, any present or former officer, employee or agent of the Association to the extent and under the circumstances as it sees fit.

ARTICLE XI. RULES & REGULATIONS


Rules & Regulations are an addendum to these Bylaws.

ARTICLE XII. AMENDMENTS


The Board of Directors may at any time it deems necessary, amend these bylaws as the situation arises. In order for an amendment to take effect, it must be passed by a majority of board directors and receive the approval of the president.
